California Software Settles Legal Action

California Software Corp., an Irvine maker of products that help IBM programs change over to Windows and the Web, said Wednesday that it has resolved legal issues related to its acquisition of a Georgia company's United Kingdom unit.

California Software had sued UniComp Inc. in Marietta, Ga., accusing it of fraudulent misrepresentation when it sold its Unibol Ltd. unit to the Orange County company. California Software contended that the sale included the purchase of U.S. Unibol operations.

Under an agreement disclosed Wednesday, UniComp will be a distributor of both Unibol and California Software's BABY migration and Web graphics products. It also allows UniComp to continue to serve its current Unibol users and to grow its client base with additional products in the Web graphics arena.

The agreement also resolves all issues related to California Software's ownership of the Unibol name and its ability to sell and support its products.
