* Electronics retailer Circuit City Stores Inc. agreed to sell its troubled bank-affiliated card portfolio to FleetBoston Financial Corp. for $1.3 billion in a bid to refocus on its core retail operations.

* A U.S. Bankruptcy Court approved the sale of satellites by Loral Space & Communications Ltd. to Hughes Electronics Corp.'s DirecTV, spurning archrival EchoStar Communications Corp., which tried to mount a competing bid.

* SafeNet Inc., a Baltimore Internet security software company, agreed to buy Rainbow Technologies Inc. of Irvine for $457 million to expand SafeNet's product line.

* K2 Inc., the Carlsbad, Calif., maker of Rawlings sporting goods, said it would buy Wilmington, Del.-based Brass Eagle Inc. for $77.8 million in stock to add paintball accessories to its line of products.
