A year earlier, ARV posted a net loss of $3 million, or 19 cents a share, for the 1998 first quarter, which included $1.5 million in expenses stemming from a proxy contest. Revenue increased 31% to $35.8 million from $27.3 million.

A year earlier, the company posted a net loss of $17.2 million, or $1.35 a share, which included a $13.2-million loss from discontinued operations. Revenue rose 32% to $35.2 million from $26.7 million. For the year, ARV posted a net loss of $46 million, or $2.90 a share, on revenue of $128.6 million.

ARV Assisted Living Inc. said Friday that its largest shareholder--a Lazard Freres & Co. affiliate--has filed a lawsuit seeking to have the Costa Mesa company's annual meeting declared invalid. The lawsuit, filed in Delaware state court by Prometheus Assisted Living LLC, claimed ARV held the meeting improperly last summer.
