British drug giant SmithKline Beecham said it's buying U.S.-based Block Drug Co. for $1.24 billion, adding such brands as Sensodyne toothpaste and Poli-Grip denture adhesive to its consumer health-care portfolio, which includes Aquafresh toothpaste. The deal would secure SmithKline's place among the world's biggest toothpaste manufacturers, behind Colgate-Palmolive Co. and Procter & Gamble Co. SmithKline Beecham is offering $53 each for all of Block's common shares.

A unit of GlaxoSmithKline, the No. 2 drug maker, has alleged in a lawsuit that smaller rival Accumed Inc. has infringed its patent on Beano, a dietary supplement that helps prevent gas. Glaxo's Jersey City, N.J.-based Block Drug Co. alleges that Accumed sells food enzyme tablets that violate Block's 1995 patent on Beano, an anti-flatulence enzyme also known as alpha-galactosidase. CVS Corp. and Eckerd Corp.

WD-40 Co. said it agreed to acquire the Lava brand of heavy-duty hand cleaners from Block Drug Co. for undisclosed terms. San Diego-based WD-40, which makes WD-40 and other brands of multipurpose lubricants, said the purchase will be financed with a credit facility from Union Bank of California. Jersey City, N.J.-based Block Drug's other brands include Sensodyne toothpaste, Polident denture cleanser and over-the-counter health-care products such as Beano. * Mitsubishi Electric Corp.

The customers, blue-collar workers for the most part, quickly purchase a small amount of the fine, white powder they have come for. Many of them ingest it on the spot. Every so often, some titillating story makes the news about a publication rejecting an advertisement. Usually, that ad features a man or woman in some suggestive state of undress. A racy ad for the Holiday Spa Health Club chain that featured Cher flaunting her belly button was rejected by TV Guide last year. And provocative ads for Guess? blue jeans and Calvin Klein products are occasionally snubbed by magazines and newspapers.
