Italian telecommunications group Olivetti and its German partner Mannesmann said that they would revise their takeover bid of $1.4 billion, or $65.75 a share, for New York-based holding company Cellular Communications International Inc. after the tender offer failed. Cellular shareholders said any offer below $80 a share would meet the same fate as the initial bid.

Pacific Telesis Group and Cellular Communications Inc. said Wednesday that they would merge their cellular telephone interests in Ohio and Michigan in a move that ultimately will further consolidate the growing industry. The deal calls for San Francisco-based PacTel to invest at least $87 million for an immediate 5% stake in Cellular Communications. Within the next six years, PacTel could take over Cellular Communications entirely for another $600 million or more.

AirTouch Communications Inc. agreed to buy out the 60% of Cellular Communications Inc. it does not own for $1.65 billion in cash and stock. The acquisition comes less than a week after AirTouch's former corporate parent, Pacific Telesis Group, agreed to be acquired by Texas-based SBC Corp., the parent of Southwestern Bell, in a deal valued at $16.7 billion.

Yahoo Inc. named veteran telecommunications executive Maggie Wilderotter as a director, the first addition to the slumping Internet icon's board since co-founder Jerry Yang took over as chief executive last month. Wilderotter is chairwoman and CEO of Stamford, Conn.-based Citizens Communications Co., which provides telephone and Internet service in more than 20 states. Wilderotter also has worked for AT&T Inc., McCaw Cellular Communications Inc. and Microsoft Corp.
