Data Processing Resources Corp., a rapidly growing Irvine temporary-staffing firm that supplies thousands of computer specialists to major corporations, on Wednesday agreed to be acquired by a Michigan company for $353 million. The $24-a-share offer from Compuware Corp., a software and staffing services concern, was nearly double Data Processing stock's price on Wednesday. On Thursday, the company's stock surged 91%, the second largest percentage gain on all U.S. markets.

Compuware Corp., a provider of corporate network software and staffing services, has agreed to buy rapidly growing Data Processing Resources Corp., an Irvine temporary-staffing firm that supplies thousands of computer specialists to major corporations. Compuware said Thursday that it would pay $353 million cash, or $24 a share, for Data Processing, nearly double the stock's price before the deal was announced. The Farmington Hills, Mich.-based company also agreed to assume $115 million in debt.

That was 38% higher than the $2.4 million, or 17 cents a share, reported a year ago. Revenue was up 60% to $90.2 million from $56.2 million.

Data Processing Resources Corp., a Newport Beach provider of information technology staffing services, reported record net income and revenue for the third fiscal quarter ended April 30. Profit increased 53% to $2.9 million, or 25 cents a share, from $1.9 million, or 18 cents a share, a year earlier. Revenue was up 79% to $56.1 million from $31.4 million. For the nine-month period, net income totaled $7.9 million, or 68 cents a share, 80% higher than the $4.

Net income grew 59% to $5.1 million, or 33 cents a share, from $3.2 million, or 23 cents a share, for the year-earlier period. Revenue for the quarter ended April 30 was up 32% to $93.2 million from $70.4 million.

Vadnais, 51, was formerly president and chief operating officer of Tascor Inc., the outsourcing division of Norrell Corporations.

Data Processing Resources Corp. said Thursday that it expects second-quarter revenue to fall as much as $1.5 million below expectations because of holiday shutdowns by the technology companies it serves and increased holiday time off by the temporary workers it supplies. The Newport Beach staffing company said that despite the sales outlook, it expects its net income and earnings-per-share figures to meet targets for the quarter.
