Under terms of the agreement, each share of Medical Resources Management's outstanding common stock will be exchanged for 0.37 shares of Emergent Group stock. Medical Resources Management will operate as a wholly owned subsidiary of Emergent Group. Emergent Group Inc. is a New York-based merchant banking company.

Med Surg, with revenue of about $1 million in 1996, provides mobile laser surgical services. SurgiCare Services is a development-stage company that repairs endoscopes used in minimally invasive surgical procedures for a unit of hospital operator Tenet Healthcare Corp.

Medical Resources Management Inc. said that Med Surg will be integrated into its Physiologic Reps Inc. unit. Med Surg, with revenue of about $1 million last year, provides mobile laser and surgical services in the Orange County area. Medical Resources, which posted revenue of $6.7 million last year, rents and sells medical equipment.
