Quantum Health Resources Inc. said Thursday it had adopted a "poison pill" to avert hostile takeovers. Shareholders will be issued a right to buy one-hundredth of a share of a new preferred stock for each share of common stock the shareholder owns at a price of $100. The rights are exercisable if a hostile suitor announced a tender offer or acquires 15% or more of the common stock. Quantum is a leading national provider of health care to people with chronic diseases.

Quantum Health Resources Inc., an Orange health care company, posted a profit of $16.6 million, or $1.07 a share, for 1993. That compares with a 1992 profit of $12.6 million, or 83 cents a share. Year-end and fourth-quarter results for 1992 have been restated for the Feb. 25, 1993, acquisition of the I.V. Clinic Inc., to account for a pooling of interests. Revenue increased 47%, to $201.7 million from $137 million. For the 1993 fourth quarter, profit rose to $4.

Quantum Health Resources apparently has a top-notch PR department. The Public Relations Society of America recently bestowed its top honor on the specialty home health care company for the Orange-based firm's investor relations department. Basically, the company is very good at getting the word out quickly about corporate developments and other tidbits that keep investors investing.

Quantum Health Resources Inc. posted slightly lower first-quarter earnings on Wednesday, saying that its performance was dimmed by expenses that resulted from a merger. For the quarter, earnings fell to $3.2 million, or 21 cents a share, from $3.3 million, or 22 cents a share, for the same period a year earlier. Revenue, however, rose 47% to $42.3 million from $28.8 million. Last year Quantum merged with a Texas competitor, I.V. Clinics Inc., in a stock swap valued at $33 million.

For the second straight quarter, Quantum Health Resources Inc. has delivered a shot in the arm to the home-infusion company's stockholders by reporting record gains in profit and sales. And 1992 is the best year yet for the company, which treats patients with chronic disorders. "Quantum's ability to produce consistent quarterly earnings growth is most directly attributable to the broadening acceptance . . . by physicians," said Chairman Douglas H. Stickney in a statement.
