Regency Health Services Inc. has signed a definitive agreement to acquire 21 hospitals, clinics and treatment centers from Horizon/CMS Healthcare Corp. for $36.3 million in cash and notes. Regency Health Services, Inc., a post-acute health care provider, offers subacute care, skilled nursing and other specialized long-term care services through 109 in-patient facilities with 11,389 licensed beds in California, Ohio, West Virginia, North Carolina and Tennessee.

New Mexico-based Sun Healthcare Group Inc. said Wednesday it completed its purchase of Regency Health Services Inc. for $625 million in cash and assumed debt, bringing Sun a step closer to becoming one of the largest nursing home operators in the U.S. Albuquerque-based Sun paid $22 a share for Regency, and said about 99% of Regency's outstanding shares were tendered at midnight Tuesday.

The company said net income totaled $3.2 million, or 20 cents a share, up from $2.7 million, or 16 cents, a share, for the same period last year. Revenue rose to $159.4 million from $129 million.

Nursing home operator Regency Health Services Inc. posted a 13% gain in net income for the second quarter on a 19% increase in revenue. The company said that it earned $3.5 million, or 22 cents a share, up from $3.1 million, or 18 cents a share, for the 1996 second quarter. Revenue advanced to $163.2 million from $137.1 million. First half net income was up 16% to $6.7 million, or 42 cents a share, from $5.8 million, or 35 cents a share, for the first six months of 1996.

Regency Health Services Inc., a nursing home chain that specializes in rehabilitation services, is planning an initial public stock offering of 2.4 million shares. The shares would sell for $10 to $12 with an expected $25 million in proceeds to be used to reduce corporate debt, according to documents filed last week with the Securities and Exchange Commission. The stock would trade on the National Assn. of Securities Dealers Automated Quotation system, or NASDAQ exchange.

Matros has been president and chief operating officer since April, 1994. Regency operates 94 specialty health care facilities in California, Ohio, New Mexico and West Virginia.

The clinics generated annual revenue of $6.9 million, the Tustin-based health care provider said. Regency also said it purchased an institutional pharmacy in Las Vegas. Regency, which had revenue of $558 million last year, operates facilities that provide skilled nursing care and other health care services.

Regency Health Services Inc., the Newport Beach operator of specialty health-care facilities, posted a profit of $1.7 million, or 25 cents a share, for its first fiscal quarter, which ended Sept. 30. That was 42% higher than the company's earnings of $1.2 million, or 17 cents a share, for the corresponding quarter last year. Revenue showed a 46% gain, to $38.7 million from $26.5 million. The company said a recent acquisition contributed $5.7 million to total revenue.
