Equity Inns Inc. agreed to buy RFS Hotel Investors Inc. for $990 million in stock and assumed debt, giving the real estate investment trust more upscale hotels and almost doubling its number of rooms. Equity Inns would swap 1.5 shares for each RFS share, valuing them at about $23 based on Tuesday's closing stock price, for a premium of 18%. The purchase would add RFS' 61 hotels to Equity Inns' portfolio of 95 hotels, with brands such as Hampton Inn, Residence Inn, Sheraton and Amerisuites.

RFS Hotel Investors Inc. said it will buy four Sheraton hotels in the state for about $90 million, boosting the number of hotels it owns here to seven. The acquisition will add 814 rooms to the 7,400 rooms and suites that the Memphis, Tenn.-based real estate investment trust owns. RFS said it expects to complete the acquisition in January. RFS will buy a 229-room hotel in San Jose, a 214-room hotel in Pleasanton and a 171-room hotel in Sunnyvale.

Equity Inns Inc. and RFS Hotel Investors Inc., two Memphis, Tenn., real estate investment trusts that own hotels, canceled a merger deal proposed in April after shares of Equity Inns dropped 30%. Equity Inns had agreed to buy RFS for $990 million in stock and assumed debt, a move that would have given it more upscale properties. Equity Inns owns 107 hotels with more than 13,700 rooms in 36 states; RFS has 64 hotels with about 9,400 rooms in 24 states. Equity Inns had originally agreed to swap 1.

Sunstone Hotel Investors Inc., which received an $813-million buyout offer from a management-led investor group late Monday, could be one of several U.S. hotel companies to be taken private, industry analysts said Tuesday. Other hotel companies, including RFS Hotel Investors Inc., LaSalle Hotel Properties, Prime Hospitality Corp. and Lodgian Inc., also might get acquisition offers from private groups.
