The mudslinging between Trans World Airlines Chairman Carl C. Icahn and Pan American World Airways intensified Wednesday, with the two ailing carriers acting little like companies that want to complete a friendly merger. The opening shot came in a letter to Icahn from Richard H. Francis, Pan Am's executive vice president and chief financial officer. Francis charged that Icahn was "not prepared to pursue" his offer of 10 days ago to combine the transatlantic carriers.

Pan Am Plan Would Drop Top Managers: The three top executives of Pan American World Airways would step down under a plan to be presented today to the judge overseeing Pan Am's bankruptcy, a spokesman for the airline said, but there was no comment on a Miami Herald newspaper report that Randall Malin, USAir executive vice president of marketing, would likely get the job of running the smaller, reorganized Pan Am. Thomas G. Plaskett, chairman, president and chief executive of Pan Am Corp., has been joined by Richard H. Francis and Peter T. McHugh in a corporate "office of the chairman" created by Pan Am's board. In conjunction with the move, Francis and McHugh were both promoted to executive vice president. Francis formerly was senior vice president and chief financial officer for Pan Am and its Pan American World Airways unit; McHugh was senior vice president, marketing, for the subsidiary.

Pan Am Corp.'s creditors and Delta Air Lines have agreed to replace Pan Am's three top executives with a new management team as they take control of the struggling carrier, an attorney for the creditors said Thursday. "There's no captain of the ship--you've got to have a captain," Pan Am creditors' attorney Marc Richards told reporters after a hearing in U.S. Bankruptcy Court. The Pan Am managers are Chairman and Chief Executive Thomas G. Plaskett, Chief Financial Officer Richard H.
