Scopus Technology Inc. said it plans to buy Clear With Computers Inc. for $92.1 million in stock to bolster its customer service software systems. Scopus said it would issue about 5.67 million shares in exchange for Clear With Computers' shares and options. The purchase price is based on Wednesday's closing price for Scopus shares of $16.25, the company said. CWC, based in Mankato, Minn., develops interactive selling systems.

Siebel Systems Inc. said it agreed to buy Scopus Technology Inc. for $461.3 million in stock, a move that would create the biggest vendor of sales-management and customer-service software. Under terms of the transaction, Siebel would pay 0.36405 of its shares for each of Scopus' 21 million shares outstanding. San Mateo-based Siebel writes software that helps corporate sales teams find prospective clients and manage big sales projects.

* Stan Lee, the legendary Marvel Comics guru and creator of Spider-Man, the Hulk and the X-Men, has signed on to work with his former archenemies at DC Comics. Terms of the deal were not disclosed. Under the arrangement, Lee will be allowed to re-create the lives and times of DC's most recognizable characters, including Superman and Batman. Lee, 77, remains the comic book industry's preeminent figure, even after 60 years in the business. He is still chairman emeritus of Los Angeles-based Marvel.
