Simmons Co., one of the nation's largest mattress companies, Tuesday said its parent company, THL Bedding Holding Co., planned to go public in an initial stock offering. The number of shares to be offered and the price range have not been determined, according to a filing with the Securities and Exchange Commission. The proposed plan calls for shares to be sold by THL Bedding and existing stockholders, the filing said. As part of the offering, THL Bedding plans to change its name to Simmons Co.

Simmons Co., the maker of Beautyrest mattresses, said it planned to file for Chapter 11 bankruptcy protection, a move that would put new owners in charge of the bedding unit and significantly lower the Atlanta company's debt. Sales have slumped for mattress makers as consumers pull back on their spending during the recession, especially on big-ticket items.

Thomas H. Lee Partners, the world's second-biggest buyout firm, agreed to buy Simmons Co. in a transaction valuing the maker of Beautyrest and BackCare mattresses at $1.1 billion. Simmons was started 132 years ago by Zalman Simmons to build wooden cheese boxes. Today, the Atlanta-based company is the second-largest bedding maker, after Sealy Corp. Simmons had earnings of $24 million in 2002 and revenue of $670 million. Thomas H.

The citizens of San Diego will have the opportunity to vote for the Clean Air Initiative in the citywide election Nov. 3. A number of newspaper accounts that have appeared in the past few days have characterized the initiative as "anti-SANDER." Though the adoption of the initiative would stop the proposed SANDER garbage incinerating plant in the populated area of Kearny Mesa, it will do much more than that. The initiative establishes reasonable standards for all solid waste facilities that will burn 500 tons or more per day of residential, commercial or industrial waste.

99 Cents Only Stores Inc. has agreed to be sold in a deal valued at about $1.6 billion, the deep-discount retailer said Tuesday, as investors are eyeing dollar stores that have grown in popularity during the economic downturn. The City of Commerce chain will be acquired by Los Angeles private equity firm Ares Management and the Canada Pension Plan Investment Board for $22 a share in cash, a 7.4% premium over Monday's closing price of $20.49. The chain said the current family management team will remain.

As the co-chairs of the Crescenta Canada Committee and as someone who was in attendance Thursday, June 10, 1993, when the Administration Committee for the State Board of Education decided to recommend in favor of the Glendale Unified School District's appeal against the annexation of territory to La Canada Unified School District, we want to pass on some firsthand information. We had not anticipated a decision in our favor. At the hearings conducted by the Los Angeles County Committee on School District Organization, we were told that the impact on our community had no influence on their decision with regard to the annexation.
