After a two-month internal investigation, a struggling Chatsworth company that makes novelty gift items and toys on Monday accused its two top former officers of embezzling $2.1 million. With Design in Mind International Inc. alleged that Steve Zuloff, its former chairman and chief executive officer, and Barry Benjamin, previously president and chief financial officer, collaborated in an elaborate scheme that included improperly paying sales commissions to a company owned by their children.

With Design in Mind International Inc. said Warner Bros. Inc. has ordered four Micro Theatre systems from the company for $60,000. The systems create three-dimensional images, which Warner would use for displaying Bugs Bunny and other entertainment characters at its proposed chain of retail stores. With Design in Mind, a Chatsworth marketer of electronic gadgets and novelty gifts, said the film studio told the company that it's "their intention to open as many as 150" stores nationwide.

A class-action lawsuit has been filed against With Design in Mind International Inc. in Chatsworth in connection with alleged embezzlement by the company's two top former officers. The complaint, filed in Superior Court in Los Angeles by a With Design shareholder, accuses the company and two former executives of violating federal securities laws. With Design's newly appointed president and chief executive, Sheldon F. Morick, said the complaint contains "numerous errors," but did not elaborate.

With Design In Mind International Inc., a Chatsworth company that's shifting its business to children's items from novelties and gifts, reported a fiscal first-quarter loss of $332,477, against a $260,084 loss a year earlier. The latest loss in the quarter ended Dec. 31 came on a 76% drop in With Design's sales, to $478,702 from $2.02 million.

With Design In Mind International Inc., a troubled Woodland Hills company that sells novelty gift items, reported a $509,922 first-quarter loss on $294,900 in revenue. A year earlier, With Design lost $563,747 on $136,124 in revenue. The company also said that a class-action shareholder lawsuit filed against it in U.S. District Court in Los Angeles in February, 1993, was dismissed last Tuesday by the court.

With Design In Mind International Inc., a Chatsworth maker of toys and novelty gift items, has been dismissed from a shareholder lawsuit stemming from the alleged embezzlement of company funds by two former With Design executives. The complaint, filed in U. S. District Court in Los Angeles in August, 1992, accused With Design of making misrepresentations and omitting information in a 1991 prospectus for a stock offering.
