* Today, Mountain View-based Synopsys Inc., the second-biggest maker of semiconductor-design software, is expected to announce a deal that will team it with four companies that make and design chips to store circuit designs in a library for other companies to use. ARM Holdings, the biggest semiconductor designer; Mips Technologies Inc., the second-biggest; and chip makers Infineon Technologies and NEC Corp. will contribute blueprints of circuits, Synopsys said.

Synopsys Inc. said it will buy Epic Design Technology Inc. for $427.1 million, or $31.25 a share, in a stock-swap merger that would combine two developers of engineering software. Shares of Mountain View-based Synopsys shares were unchanged at $41.75. Epic shares lost $1 to close at $30.25. Both trade on Nasdaq. Synopsys said it would issue 0.7485 shares of its stock for each outstanding Epic share. The acquisition values Epic at $427.1 million, or $31.25 a share.

Health-care stocks will become more of a force in the Nasdaq 100 when the benchmark index--often considered a proxy for the technology sector--is shuffled next week. Of the 13 stocks to be added to the index next Monday, eight are health-care and biotechnology issues, including ImClone Systems Inc., Sepracor Inc., Invitrogen Corp. and Cephalon Inc. All 13 of the stocks to be dropped during the index's annual rebalancing are technology issues--some of them household names of the '90s dot-com boom such as Inktomi Corp.

Synopsys Inc. on Monday agreed to buy Numerical Technologies Inc. for $250 million to fill an important gap in its product line. Synopsys, the world's second-largest maker of computer chip design software, will pay $7 a share, 89% more than Numerical's closing price Friday of $3.70. The purchase will cut Synopsys' fiscal 2003 profit before goodwill by less than 10 cents a share and will add to profit in fiscal 2004, the company said.
