Tivoli Industries, a Santa Ana manufacturer of specialty lighting and related products, is being acquired by an Italian firm, Targetti Sankey, for $5.6 million, or $4.50 a share, the companies announced Monday. Tivoli provides lighting for entertainment centers, casinos and cinemas. Tivoli clients include Disneyland, Disneyworld and Warner Brothers cinemas. For the nine months ended June 30, Tivoli had revenues of $8.5 million and operating profit of $3.8 million.

Tivoli Industries, which designs and manufactures specialty lighting products, said Tuesday it has formed a unit in Mexico City. Tivoli said the unit, Tivoli de Mexico, will supply specialty lighting and related technologies to the theater, specialty commercial and hospitality industries in Mexico. Tivoli de Mexico will act as a sales and distribution arm to Mexico and Latin America.

Shareholders of Santa Ana-based Tivoli Industries Inc. have approved a 1-for-3 reverse stock split, the company said Thursday. Tivoli, which makes specialty lighting and related products, proposed the reverse split in an effort to boost the stock price above the minimum of $1 a share required to retain the company's listing on the Nasdaq market. The shares have been trading below $1 since August. The stock closed Thursday at 69 cents, down 6 cents a share.

The Santa Ana designer and manufacturer of specialty lighting posted a net loss of $591,583, or 15 cents a share, for the fourth quarter ended Sept. 30, compared with net income of $138,622, or 3 cents a share, a year ago. Sales were down 12% to $2.3 million from $2.6 million. For the year, the company reported a net loss of $626,332, or 16 cents a share, contrasted with a profit of $511,762, or 12 cents a share, a year ago. Sales declined 2% to $9.6 million from $9.8 million.

Sales for the quarter ended June 30 increased 29% to $1.1 million from $863,065. Net income for the first nine months was $56,511, or 1 cent a share, down 34% from the $85,475, or 3 cents a share, for the first nine months of the previous fiscal year.
