A Huntington Beach marketing company said Wednesday it has filed a $14-million lawsuit in a Los Angeles court against USWeb Corp. and an affiliate, SystemLogic Inc. Larmark Inc. alleges that USWeb and SystemLogic failed to fulfill a $277,055 contract that called for the creation of an Internet site, JewelryChannel.Com, dedicated to the jewelry trade. The suit also alleges breach of contract, fraud, negligent misrepresentation, unfair competition and false advertising.

* USWeb Corp. agreed to buy CKS Group Inc. for $21.66 a share, or $344.4 million in stock, as the biggest Internet consulting company aims to broaden its expertise in multimedia marketing. USWeb would exchange 1.5 shares for each of CKS' 15.9 million diluted shares outstanding. That values CKS at 53% more than Tuesday's close. The new company would be called Reinvent Communications Inc. Cupertino-based CKS is the No. 3 interactive media company. In Nasdaq trading, CKS shares rose $1.
